These Terms of Service ("Terms") govern your access to and use of the websites operated by Light Bio, Inc., including light.bio and any related websites, pages, products, content, and services that link to these Terms (collectively, the "Services"). By accessing or using the Services, creating an account, or purchasing a product from us, you agree to these Terms, our Privacy Policy, our Shipping Policy, and our Refund Policy, each of which is incorporated by reference. If you do not agree, do not use the Services.

These Terms apply to purchases made directly from Light Bio through the Services. If you purchase Light Bio products through a third-party marketplace, retailer, or distributor, additional terms, return or refund rules, and dispute procedures of that sales channel may apply.

We may update these Terms from time to time by posting a revised version on our website. Your continued use of the Services after updated Terms are posted means you accept the revised Terms.

IMPORTANT NOTICE REGARDING DISPUTE RESOLUTION: THESE TERMS REQUIRE INDIVIDUAL, BINDING ARBITRATION OF MOST DISPUTES AND INCLUDE A WAIVER OF CLASS ACTIONS AND JURY TRIALS. PLEASE READ SECTION 17 CAREFULLY.


1. Eligibility and Accounts

  • You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase products through the Services.

  • If you use the Services on behalf of a company or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

  • If you create an account, you must provide accurate, current, and complete information and keep it updated.

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

  • We may suspend or terminate accounts, or refuse service, if we believe information is inaccurate, the account is being misused, or use of the Services would create legal, operational, or reputational risk.


2. Permitted Use and Prohibited Conduct

  • The Services and products are offered for personal, lawful use unless we expressly agree otherwise in writing.

  • You may not purchase products for resale, redistribution, commercial propagation, breeding, tissue culture, or other commercial exploitation without our prior written consent. Light Bio is the exclusive global provider of this bioluminescent technology; we do not sell or authorize the sale of seeds. The production, distribution, or sale of seeds or any other progeny derived from our products is strictly prohibited.

  • You may not use the Services for any unlawful or unauthorized purpose, or in violation of any applicable law, regulation, or court order.

  • You may not interfere with the operation or security of the Services, introduce malware, attempt unauthorized access, impersonate another person, or use automated means to scrape or extract data from the Services without our written permission.

  • You may not use the Services or our social media channels to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate against our customers, employees, or retail partners. We maintain a zero-tolerance policy for personal attacks or bullying directed at our community members. We reserve the right, in our sole discretion, to remove offensive content and block or terminate access to our social media features for any user who engages in such prohibited conduct or attempts to influence our business operations through digital harassment.

  • We may refuse, limit, or cancel orders that appear to be placed by dealers, resellers, distributors, bots, or other unauthorized parties.


3. Product Information and Plant-Specific Terms

  • Light Bio sells live plants and related merchandise. Because plants are living products, each plant is unique and natural variation is expected.

  • Photos, descriptions, dimensions, bloom counts, and other product information are provided for general reference and may vary from the product you receive.

  • Variation in plant size, shape, color, bloom count, timing of flowering, and glow intensity resulting from genetics, maturity, shipping stress, light exposure, temperature, watering, fertilization, or other growing conditions is not a defect.

  • Live plants may show ordinary transit stress when they arrive. Please follow the care instructions provided with the product and on our website.

  • Any care, growing, or product information we provide is for general informational purposes only and is not a guarantee of performance, flowering, or glow intensity in any specific environment.

  • Once products are delivered, their appearance, health, and performance may be affected by conditions outside our control.


4. Orders, Pricing, and Payment

  • All prices are listed in U.S. dollars unless we state otherwise.

  • Shipping charges, taxes, and any other applicable fees are added at checkout.

  • Placing an order is an offer to purchase. We may accept, reject, limit, or cancel any order at our discretion, including because of product availability, suspected fraud, suspected resale activity, pricing errors, shipping restrictions, or legal compliance concerns.

  • We may correct clerical, pricing, promotional, or other errors even after an order is submitted, and may cancel or refuse orders affected by such errors.

  • You authorize us to charge your selected payment method for all amounts due in connection with your order.

  • If your payment method is declined or cannot be processed, we may cancel your order or delay shipment until payment is completed.

  • We may require additional information to verify your identity or payment details before accepting or fulfilling an order.


5. Shipping, Delivery, and Seasonal Holds

  • Live plants are shipped in accordance with our Shipping Policy and may be shipped seasonally or held for weather, temperature, or other conditions that could affect plant health in transit.

  • Shipping and delivery dates are estimates only and are not guaranteed.

  • You are responsible for providing a complete and accurate shipping address and for making arrangements to immediately receive delivered products.

  • Because plants should not remain boxed for extended periods, you are responsible for immediately unpacking and caring for live plants after delivery.

  • Orders that are returned, delayed, destroyed, or damaged because of an incorrect address, refusal of delivery, failed delivery attempts, missed delivery, or packages left unattended after delivery may not be eligible for refund or replacement except as stated in our Refund Policy.

  • We are not responsible for carrier delays, weather events, or other circumstances beyond our reasonable control, although approved remedies may be available under our Refund Policy where applicable. To be eligible for a remedy, any claim for a damaged or non-viable plant must be submitted to hello@light.bio within 72 hours of delivery.


6. Cancellations, Returns, and Refunds

  • Our Refund Policy governs order cancellation rights, claims for wrong items, damaged or non-viable live plants, returns of eligible non-plant merchandise, refund timing, and refund methods.

  • Live plants are final sale and are not returnable except as expressly provided in the Refund Policy or required by law.

  • Do not send live plants or other items back to us without first contacting hello@light.bio and receiving return instructions, if applicable.

  • Approved refunds are issued to the original payment method unless otherwise required by law.


7. Third-Party Marketplaces and Sales Channels

  • If you purchase Light Bio products through Amazon or any other third-party marketplace, retailer, or distributor, your purchase may also be subject to that channel's terms, policies, and dispute procedures.

  • To the extent required by a third-party sales channel, refund and return requests for orders placed through that channel must be made through that channel.

  • Light Bio may not be able to directly process refunds, returns, or disputes for purchases made through third-party sales channels.


8. Intellectual Property and Limited License

  • The Services, including all text, images, graphics, logos, trademarks, trade dress, software, product names, product descriptions, videos, and other content, are owned by Light Bio or its licensors and are protected by intellectual property and other laws.

  • Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use.

  • You may not copy, reproduce, republish, distribute, publicly display, modify, create derivative works from, reverse engineer, decompile, sell, or exploit any part of the Services except as expressly permitted by us in writing or by applicable law.

  • Authorized Sales and Progeny: Light Bio and its authorized retail partners are the only authorized distributors of our bioluminescent technology. This technology is provided exclusively in live plant form. Any unauthorized sale or distribution of seeds, cuttings, or genetic material incorporating our proprietary traits—regardless of the product name used by the seller—constitutes an infringement of our intellectual property rights.

  • Light Bio trademarks, logos, and product names may not be used without our prior written consent.


9. User Comments, Feedback, and Other Submissions

  • If you submit reviews, comments, suggestions, ideas, photos, videos, testimonials, or other materials to us ("Submissions"), you grant Light Bio a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable license to use, host, store, reproduce, modify, adapt, publish, display, distribute, and otherwise exploit those Submissions in any media for our business purposes, subject to our Privacy Policy where applicable.

  • You represent and warrant that you own or control all rights necessary to provide your Submissions and that your Submissions do not violate any law or the rights of any third party.

  • You may not submit content that is unlawful, defamatory, infringing, deceptive, obscene, abusive, harmful, or contains malware.

  • We may remove or decline to use any Submissions at any time and for any reason.

  • Feedback you provide is voluntary and we may use it without restriction or compensation to you.

  • We reserve the right, but have no obligation, to monitor, edit or remove content that we determine in our sole discretion is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service. Specifically, we maintain a zero-tolerance policy for personal attacks, harassment, or bullying directed at our customers or community members. We may restrict or block users engaging in such behavior from our social media channels and Site-related interactive features without notice.


10. Communications and Messaging

  • By providing your email address or phone number to us, you consent to receive transactional communications related to your account, orders, customer support requests, and use of the Services.

  • If you opt in to receive marketing emails or text messages, you also consent to receive those communications in accordance with applicable law.

  • Consent to receive marketing text messages is not a condition of purchase. Message and data rates may apply. You may opt out by following the instructions in the message or by contacting us.

  • You represent that you are authorized to provide any contact information you submit to us.


11. Third-Party Links and Services

  • The Services may contain links to third-party websites, applications, services, or content that we do not own or control.

  • We are not responsible for the availability, accuracy, legality, policies, or practices of third-party services or content.

  • Your interactions and transactions with third parties are solely between you and the third party, and you access third-party services at your own risk.


12. Compliance with Laws

  • You may not use the Services or purchase products where doing so is prohibited by law.

  • You are responsible for complying with all laws and regulations applicable to your purchase, receipt, importation, transport, cultivation, possession, propagation, and use of any product.

  • Product availability may vary by jurisdiction, and we may refuse or cancel orders where sale, shipment, or use would be unlawful or impracticable.

  • You represent that you are not subject to U.S. sanctions or other legal restrictions that would prohibit transactions with Light Bio.


13. Suspension and Termination

  • You may stop using the Services at any time.

  • We may suspend or terminate your access to the Services, cancel pending orders, or deactivate your account at any time if we reasonably believe you have violated these Terms, your conduct creates risk to Light Bio or others, or suspension or termination is otherwise appropriate for legal, security, operational, or business reasons.

  • Termination does not affect obligations and rights that by their nature should survive, including payment obligations, intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution provisions.


14. Disclaimer of Warranties

  • Except as expressly set forth in our Refund Policy or as otherwise required by non-waivable law, the Services, all content, and all products are provided on an "as is" and "as available" basis.

  • To the fullest extent permitted by law, Light Bio and its affiliates, licensors, suppliers, service providers, and their respective officers, directors, employees, contractors, and agents disclaim all express, implied, statutory, and other warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

  • We do not warrant that the Services will be uninterrupted, secure, or error-free, or that content on the Services will always be accurate, complete, or current.

  • Because plants are living organisms, we do not warrant the future health, growth, flowering, appearance, or glow intensity of any plant after delivery. Plant performance depends on environmental and care conditions outside our control.

  • Some jurisdictions do not allow exclusion of certain warranties, so some of the above disclaimers may not apply to you.


15. Limitation of Liability

  • To the fullest extent permitted by law, none of Light Bio or its affiliates, licensors, suppliers, service providers, or their respective officers, directors, employees, contractors, and agents will be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, use, data, or business interruption, arising out of or related to the Services, the products, or these Terms, even if advised of the possibility of such damages.

  • To the fullest extent permitted by law, the aggregate liability of all Light Bio parties for any and all claims arising out of or relating to the Services, the products, or these Terms will not exceed the greater of (a) the amount you paid to Light Bio for the specific product or service giving rise to the claim in the 12 months before the event giving rise to the claim, or (b) $100.

  • The foregoing exclusions and limitations apply whether the claim is based in contract, tort, strict liability, statute, or any other legal theory.

  • Some jurisdictions do not allow certain limitations of liability, so parts of this Section may not apply to you.


16. Indemnification

You agree to defend, indemnify, and hold harmless Light Bio and its affiliates, licensors, suppliers, service providers, and their respective officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your violation of these Terms, your misuse of the Services or products, your Submissions, or your violation of any law or the rights of a third party.


17. Arbitration Agreement; Class Action Waiver

Please read this Section carefully. It affects your legal rights.

Light Bio's officers, directors, employees, and independent contractors are intended third-party beneficiaries of this Section and may enforce it as applicable.

(a) Informal Resolution

Before either party starts arbitration, the parties will use good-faith efforts to resolve the dispute informally. A party seeking to raise a dispute should first provide written notice describing the dispute and the requested relief.

(b) Binding Arbitration

Except for matters that qualify for small claims court and claims for injunctive or other equitable relief relating to intellectual property or unauthorized access to the Services, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or products purchased from Light Bio will be finally resolved by binding arbitration.

The arbitration will be conducted in English in Ada County, Idaho, under the JAMS Streamlined Arbitration Rules and Procedures then in effect, before one arbitrator with substantial experience in commercial disputes. Judgment on the arbitrator's award may be entered in any court with jurisdiction.

(c) Small Claims Court; Injunctive Relief

Either party may bring an individual claim in small claims court if it qualifies. Either party may also seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or unauthorized access to the Services.

(d) Waiver of Jury Trial

YOU AND LIGHT BIO WAIVE ANY RIGHT TO A JURY TRIAL FOR ANY CLAIM OR DISPUTE COVERED BY THIS SECTION OR OTHERWISE PERMITTED TO BE LITIGATED IN COURT.

(e) Waiver of Class and Representative Actions

TO THE FULLEST EXTENT PERMITTED BY LAW, ALL DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO RESOLVE THAT PARTY'S INDIVIDUAL CLAIM.

If this class and representative action waiver is found unenforceable for a particular claim or request for relief, then that claim or request for relief must be severed and litigated in court, and the remaining claims must proceed in individual arbitration.

(f) Opt-Out Right

You may opt out of this arbitration agreement by sending written notice of your decision to opt out to: Light Bio, 151 4th St W #60, Ketchum, ID 83340. Your notice must be postmarked within 30 days after you first accept these Terms and must include your name, mailing address, the email address and phone number associated with your account or order, and a clear statement that you wish to opt out of arbitration.

(g) Governing Law and Venue for Non-Arbitrable Claims

The Federal Arbitration Act, applicable federal law, and the laws of the State of Idaho, without regard to conflict of law principles, govern these Terms and this arbitration agreement. If a dispute is not subject to arbitration, or if the arbitration agreement is validly opted out of, then any judicial proceeding other than small claims court must be brought in the state or federal courts located in Ada County, Idaho, and each party consents to that venue and jurisdiction.

(h) Severability

If any provision of this Section is found unenforceable, that provision will be severed to the minimum extent necessary, and the remaining provisions will remain in effect. This arbitration agreement survives termination of your relationship with Light Bio.


18. Miscellaneous

  • These Terms, together with any policies or additional terms expressly incorporated by reference, are the complete and exclusive agreement between you and Light Bio regarding the Services and supersede prior or contemporaneous understandings on that subject.

  • If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

  • Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

  • You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms without restriction.

  • Section headings are for convenience only and do not affect interpretation.

  • Except as expressly stated in these Terms, there are no third-party beneficiaries to these Terms.

  • Nothing in these Terms limits any non-waivable rights you may have under applicable law.
